Terms of Service
1. Acceptance of these Terms
These Terms of Service (the “Terms”) form a binding legal agreement between Ravin Inventory Solutions (“Ravin,” “we,” “us,” “our”) and the individual or legal entity that accesses or uses the Service (“you,” “your,” “User”).
By creating an account, accepting an invitation to the Service, or otherwise accessing or using the Service in any manner, you confirm that you (a) have read these Terms, (b) understand them, (c) agree to be bound by them, and (d) have the legal capacity and authority to enter into this agreement. If you do not agree to these Terms in full, you must not access or use the Service.
If you are using the Service on behalf of an organization (an insurance adjusting firm, brokerage, or carrier), you represent that you have the authority to bind that organization, and “you” in these Terms refers both to you personally and to that organization.
2. Definitions
For purposes of these Terms:
- “Service” means the UPP Sheet software-as-a-service application operated by Ravin Inventory Solutions, including the website at
ravinventory.com, all associated subdomains, the application’s back-end services, APIs, AI processing pipelines, exports, and any related documentation, in each case as updated from time to time. - “Software” means the source code, compiled binaries, scripts, models, prompts, AI rules, schemas, designs, user interfaces, documentation, and all other materials that comprise the Service.
- “Account” means the User’s authenticated identity within the Service, established through the Service’s identity provider (Clerk) by invitation.
- “Beta” means the pre-release, invite-only phase of the Service in effect as of the Effective Date.
- “User Content” means information, photographs, documents, claim metadata, room and item descriptions, prices, model numbers, notes, audit trail entries, exported deliverables, and any other data the User creates, uploads, generates, or causes the Service to generate.
- “Claim Data” means User Content that relates to a specific insurance contents claim, including the photographs, identified items, prices, depreciation values, and exported reports.
- “Feedback” means any suggestion, idea, comment, bug report, feature request, or other communication the User provides to Ravin regarding the Service.
- “Confidential Information” has the meaning given in Section 11.
- “Intellectual Property Rights” means all patents, copyrights, trademarks, trade secrets, moral rights, know-how, and any other intellectual property rights recognized in any jurisdiction.
3. Eligibility, Accounts, and Account Security
3.1 Eligibility
The Service is intended for use by professional insurance adjusters, adjusting firms, and similar parties handling personal-property contents claims. By using the Service, you represent that:
- You are at least eighteen (18) years of age.
- You are a licensed insurance professional, an employee of one, or otherwise have a legitimate professional need to handle personal-property contents claims.
- The information you provide to create your Account is accurate and complete, and you will keep it current.
- You are not barred from using the Service under the laws of any applicable jurisdiction.
3.2 Invitation Required
Access to the Service during the Beta is by invitation only. You must hold a valid invitation from Ravin to create an Account. Sharing, selling, or transferring invitations is prohibited.
3.3 Account Security
You are solely responsible for safeguarding your Account credentials, for all activity that occurs under your Account, and for promptly notifying Ravin of any unauthorized access. You agree not to share your Account with any other person. Ravin is not liable for any loss or damage arising from your failure to comply with this Section.
4. License to Use the Service
Subject to your continuous compliance with these Terms and timely payment of any fees that become applicable (none apply during the Beta), Ravin grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your own internal business purpose of preparing personal-property contents claim deliverables for legitimate insurance matters.
The license granted in this Section is not a sale of, or any assignment of rights in, the Service or the Software. All rights not expressly granted to you are reserved by Ravin.
5. Intellectual Property
5.1 Ravin’s Ownership of the Service
The Service and the Software, including all code, AI prompts and rules (including the AI_RULES document and its embedded vision and pricing instructions), data-processing methods and pipelines, machine learning approaches, depreciation tables, category schemes, prompt caching strategies, XLSX and PDF export templates and styles, user interface layouts, look-and-feel, names, logos, branding, and any underlying trade secrets, are and remain the exclusive property of Ravin Inventory Solutions and its licensors. They are protected by United States and international copyright, trademark, trade-secret, and other Intellectual Property Rights laws.
Nothing in these Terms transfers any Intellectual Property Rights in the Service or the Software to the User. The User obtains no rights in the Service or the Software except the limited license granted in Section 4.
5.2 User Ownership of User Content
As between you and Ravin, you retain all ownership rights in your User Content, including all Claim Data, the photographs you upload, and the exported reports you generate. Ravin claims no ownership in your User Content.
5.3 Limited License to Ravin for Service Delivery
You grant Ravin a worldwide, non-exclusive, royalty-free license to host, store, transmit, process, display, reproduce, and create derivative works of your User Content solely to the extent necessary to provide, maintain, secure, debug, and improve the Service for you, and to comply with applicable law and legal process. This license terminates when you delete the User Content from the Service or terminate your Account, except to the extent the User Content is retained in Ravin’s backups, audit logs, or aggregated non-personally-identifiable analytics as may be described within these Terms and in accordance with Ravin’s Privacy Policy (https://ravinventory.com/privacy)..
5.4 Feedback License
You grant Ravin a perpetual, irrevocable, worldwide, royalty-free, sublicensable, transferable license to use, modify, incorporate into the Service, and otherwise exploit any Feedback you provide, for any purpose, without compensation or attribution to you. You waive any moral rights in Feedback to the maximum extent permitted by law.
5.5 Trade-Mark Notice
“Ravin Inventory Solutions,” “UPP Sheet,” the Ravin raven logo, and related marks are trademarks of Ravin Inventory Solutions, LLC. You may not use any Ravin trademark without Ravin’s prior written consent.
5.6 De-identified and Aggregated Data
Ravin may create de-identified, aggregated data from User Content and from the operation of the Service (for example, how often a category of item appears across claims, or typical replacement-price ranges for a category of item), and Ravin owns that data. Ravin follows the de-identification requirements of the California Consumer Privacy Act: it takes reasonable measures to ensure the data cannot be associated with any individual, household, or specific claim; it publicly commits to maintain and use the data only in de-identified form and not to attempt to reidentify it; and it contractually prohibits any recipient from attempting to reidentify it. De-identified and aggregated data is not Personal Data, Claim Data, or your Confidential Information, and Ravin may use it for any lawful purpose, including to improve the Service and its pricing. Ravin does not create de-identified data from any photograph or other information obtained through a Google API (Section 5.8).
5.7 Pricing Methods, Models, and Improvements
As between you and Ravin, Ravin owns the Software and all pricing methodologies, prompts, models, category schemes, depreciation tables, and export templates, together with all improvements to them, including improvements made in the course of providing the Service to you. Nothing in Section 5.2 gives you any right in them. The AI Output delivered to you in your claims and exports is your User Content, which you own and may use under Section 5.2.
5.8 Information Obtained Through Google APIs
Ravin’s use of information received from Google APIs adheres to the Google API Services User Data Policy, including its Limited Use requirements. Ravin uses that information only to provide the photo-intake feature you request, does not use it to develop, improve, or train generalized artificial-intelligence or machine-learning models, does not transfer it except as necessary to provide that feature, for security, or to comply with law, and excludes it from Section 5.6.
6. Restrictions — What You May Not Do
You agree that you will not, and will not allow any third party to, directly or indirectly:
6.1 Reverse Engineering and Source Discovery
Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, structure, algorithms, prompts, data schemas, or trade secrets of the Service or the Software, except and only to the extent that such restriction is expressly prohibited by applicable law notwithstanding this limitation.
Use any web-scraping, automated extraction, “scraping,” “crawling,” data-mining, or systematic-retrieval tool or technique against the Service, or attempt to discover non-public APIs.
Attempt to derive, copy, or replicate the AI prompt content, AI rules, category schemes, depreciation tables, export templates, or data-processing methods.
6.2 Copying, Redistribution, and Competition
Copy, reproduce, mirror, frame, distribute, sell, sublicense, lease, rent, host as a service, time-share, or commercially exploit the Service, the Software, or any portion of either, except as expressly permitted by these Terms.
Use the Service, the Software, or any output of the Service to develop, train, improve, or evaluate a competing product or service.
Use the Service to create a database, dataset, or model that replicates the Service’s functionality.
6.3 Security and Integrity
Probe, scan, or test the vulnerability of the Service, breach any security or authentication measure, or gain or attempt to gain unauthorized access to any portion of the Service or to any data, account, or system.
Introduce any virus, worm, malware, ransomware, time-bomb, Trojan horse, or other malicious code into the Service.
Interfere with, overload, or impair the operation of the Service, including by transmitting unreasonable volumes of requests or by exploiting bugs or undocumented features for that purpose.
Remove, obscure, or alter any copyright, trademark, watermark, proprietary notice, audit-log entry, or version identifier in or on the Service or any output of the Service.
6.4 Lawful Use and Data Integrity
Use the Service to process claims that you are not professionally authorized to handle, that are fraudulent, or that you know or have reason to know contain materially false information.
Use the Service in violation of any applicable law, regulation, or third-party right, including without limitation insurance regulation, consumer-protection laws, privacy laws, and laws regarding the unauthorized practice of insurance adjustment.
Use the Service to harass, defame, or harm any person.
Misrepresent the source of any Service-generated output or pass Service-generated content off as having been produced without AI assistance, when an applicable carrier, regulator, or contract requires such disclosure.
6.5 Account Sharing and Resale
Share your Account credentials with, or permit access to your Account by, any other person.
Resell, distribute, or commercially exploit your invitation, Account, or access to the Service.
Any violation of this Section 6 is a material breach of these Terms and may, at Ravin’s sole discretion, result in immediate suspension or termination of your Account, in addition to any other remedies available at law or in equity.
7. Beta-Specific Terms
The Service is in a pre-release, invitation-only Beta phase. By accessing the Beta, you specifically acknowledge and agree to the following:
7.1 Beta Status, Stability, and Changes
The Service may contain errors and design defects, may be unstable, may lose data, may be modified or interrupted at any time without notice, and may not yet operate as documented. Features visible in the Beta may change substantially or be removed entirely before general release.
7.2 No Availability Guarantee
Ravin makes no representation or warranty regarding the availability or uptime of the Service during the Beta. There is no service-level agreement.
7.3 Confidentiality of Pre-Release Material
You acknowledge that the Service, its features, user interface, roadmap, performance characteristics, pricing models under consideration, and any non-public communications from Ravin about the Service constitute Ravin’s Confidential Information. You agree not to disclose, publish, screenshot for public distribution, blog about, post to social media, present at any conference, or otherwise make public any portion of the Service or its non-public materials without Ravin’s prior written consent, except that you may discuss the Service with your own employees and professional contacts who have a need to know and who are bound by confidentiality obligations at least as protective as those in these Terms.
7.4 Right to End or Convert the Beta
Ravin may, at any time and at its sole discretion, modify, suspend, or terminate the Beta in whole or in part; convert the Beta to a paid commercial offering; require execution of revised terms as a condition of continued access; or remove any User from the Beta. Ravin will provide reasonable notice of any such change where practicable, but is not obligated to do so for security, legal, or operational emergencies.
7.5 Feedback Expectation
By accepting an invitation to the Beta, you agree to provide Ravin with reasonable Feedback about your experience with the Service when requested, in good faith and within a reasonable time after request.
8. Privacy and Data Handling
The processing and handling of personal information through the Service is governed by the Ravin Inventory Solutions Privacy Policy (https://ravinventory.com/privacy), which is incorporated into these Terms by reference, and the handling of all personal information, User information, and Claims Data is subject to the following.
8.1 You represent and warrant that you have all rights, consents, and permissions necessary under applicable law to upload, process, and share with Ravin any User Content containing personal information about third parties (including, but not limited to, insureds, claimants, and witnesses). You are responsible for ensuring that your use of the Service complies with all applicable privacy and data-protection obligations to which you are subject, including all such obligations applying to your onward distribution of any data, images, or other information exported to you from Ravin. You must not use the Service to capture or upload imagery containing personal information beyond what is reasonably necessary to document and value the items in a claim, and you agree to take reasonable steps to minimize the incidental capture of personal information (for example, mail, documents, screens, identification cards, and people). To the extent personal information is nonetheless captured in or evident from any imagery you submit to or use with the Service, you must ensure that you have obtained (or otherwise possess) all rights, permissions, and consents necessary to allow the capture and use of that imagery. Ravin’s rights to use information collected through your use of the Service are limited to those set forth in Section 5, this Section 8, the Data Processing Addendum, and the Privacy Policy. Google, Anthropic, and other providers may collect and use certain data regarding your use of the Service in accordance with their respective privacy policies and terms, and Ravin has no control over, or responsibility for, that data collection and use.
8.2 You understand and agree that Ravin processes Claims Data solely to provide you with the Service and is thereby deemed a “processor” under laws of New Hampshire. Ravin does not use Claims Data or any aggregated information for its own independent marketing, profiling, analytics, or other purposes not separately authorized. You acknowledge that Ravin shall process Claims Data solely to provide the Service and in accordance with your documented instructions, except as otherwise required by applicable law and you at all times control the purposes and means of handling the Claims Data once processed and delivered to you by Ravin.
8.3 Ravin may be considered the controller only as to the following:
account/contact information;
billing information;
authentication/security logs; and
information necessary to administer the Ravin customer relationship
8.4 Data Processing Addendum. Ravin’s processing of personal data contained in Claims Data on your behalf is also governed by the Data Processing Addendum attached to these Terms as Exhibit A, which is incorporated into these Terms by reference. If the Data Processing Addendum conflicts with these Terms, the Data Processing Addendum controls as to the processing of that personal data.
8.5 Privacy commitments. Ravin applies the universal commitments stated in the Privacy Policy to every User in every state: it does not sell or share personal information; it does not use personal information to train artificial-intelligence or machine-learning models; it offers every visitor equal cookie and storage choices; it handles sensitive information that appears in photographs under the strictest applicable standard; and it gives notice of security breaches within the periods the Privacy Policy and the Data Processing Addendum state. Beyond those commitments, Ravin honors the privacy rights that the law of a person’s state of residence provides, as the Privacy Policy describes. Where a law that applies to you imposes an obligation on you as a controller, you remain responsible for meeting it, and Ravin will assist as the Data Processing Addendum describes. Sections 12 and 13 apply to this Section 8.5.
8.6 Onward sharing and permissions. Ravin processes Claim Data only on your documented instructions, as the Data Processing Addendum describes, and has no relationship with the insureds, claimants, and other persons whose information or property appears in your User Content. You are solely responsible for (a) giving any notice to, and obtaining any consent or permission from, those persons that applicable law or your own contracts require, including notice of Ravin’s processing and of the operator access described in Section 10.1 of the Privacy Policy; and (b) every use and disclosure of User Content, AI Output, exports, and photograph links by you and by any person to whom you or your recipients provide them, including carriers, insureds, and their representatives. Once that material leaves the Service, Ravin does not control it and is not responsible for its use or disclosure.
8.7 Release. To the fullest extent permitted by law, you release Ravin and its owners, officers, employees, agents, and licensors from all claims, demands, losses, and liability arising from (a) Ravin’s processing of User Content in accordance with these Terms, the Data Processing Addendum, and the Privacy Policy, and (b) any use or disclosure of User Content, AI Output, exports, or photograph links by you or by any person who receives them from you or through you. This Section 8.7 grants Ravin no right to use User Content; Ravin’s rights are limited to those in Sections 5.3, 5.4, and 5.6 through 5.8 and the Data Processing Addendum.
9. AI-Generated Content — Important Notices
The Service uses third-party large-language and computer-vision models (currently provided by Anthropic and others) to generate item descriptions, suggested categories, suggested replacement prices, depreciation calculations, and supporting rationales (the “AI Output”).
9.1 Drafts Only
You acknowledge that AI Output is a draft, may contain errors, hallucinations, or misclassifications, may misidentify items in photographs, may suggest inaccurate prices, and must be reviewed and verified by a qualified human adjuster before being relied upon or delivered to any carrier, insured, or other third party. The Service is a tool to accelerate adjuster work, not a substitute for adjuster judgment.
9.2 No Carrier Endorsement
The Service is independent of any insurance carrier. AI Output is not a carrier-approved valuation. The acceptability of AI-assisted valuations is subject to each carrier’s individual policies, and you are responsible for confirming such acceptability for each claim.
9.3 Disclosure Obligations
You are responsible for any disclosures regarding AI assistance that your carrier contracts, professional licensing bodies, jurisdiction, or applicable regulations require.
10. Fees and Payment
The Service is currently provided to invited Beta participants at no charge. Ravin reserves the right to introduce fees for future versions of the Service. If and when fees become applicable to your use, Ravin will provide notice and you will have the option to discontinue use before incurring any charge.
11. Confidentiality
“Confidential Information” means any non-public information disclosed by one party (the “Disclosing Party”) to the other (the “Receiving Party”) that is identified as confidential or that a reasonable person would understand to be confidential under the circumstances. Ravin’s Confidential Information includes the Software, source code, AI prompts and rules, pre-release features, roadmaps, security architecture, usage analytics, and any non-public information about the Service.
The Receiving Party will (a) use the Disclosing Party’s Confidential Information only as necessary to perform under these Terms or use the Service; (b) protect the Confidential Information with at least the same degree of care it uses to protect its own confidential information of similar importance, and in no event less than reasonable care; and (c) not disclose the Confidential Information to any third party except to its employees and contractors who have a need to know and who are bound by confidentiality obligations at least as protective as those in this Section.
These obligations do not apply to information that (i) is or becomes generally known to the public through no breach of these Terms by the Receiving Party; (ii) was rightfully in the Receiving Party’s possession before disclosure; (iii) was rightfully obtained from a third party without restriction; or (iv) is independently developed without use of the Disclosing Party’s Confidential Information. The Receiving Party may disclose Confidential Information if required by law or court order, provided that, where legally permissible, it gives the Disclosing Party prompt notice and a reasonable opportunity to seek a protective order.
12. Disclaimer of Warranties
THE SERVICE AND ALL AI OUTPUT, USER CONTENT, REPORTS, AND OTHER MATERIALS PROVIDED BY OR THROUGH THE SERVICE ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RAVIN, ITS AFFILIATES, AND ITS LICENSORS AND SERVICE PROVIDERS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION (A) ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT; (B) ANY WARRANTY OF ACCURACY, COMPLETENESS, OR RELIABILITY OF AI OUTPUT; (C) ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; AND (D) ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
NO ADVICE OR INFORMATION OBTAINED BY YOU FROM RAVIN OR THROUGH THE SERVICE CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
RAVIN DOES NOT WARRANT THAT THE FUNCTIONS ON THE RAVIN WEBSITE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE RAVIN WEBSITE WILL BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. RAVIN DOES NOT MAKE ANY REPRESENTATIONS OR WARRANTIES REGARDING THE USE OR THE RESULTS OF THE USE OF THE MATERIALS OR FUNCTIONS ON THE RAVIN WEBSITE IN TERMS OF CORRECTNESS, ACCURACY, RELIABILITY, RESULTS TO BE ACHIEVED, OR OTHERWISE. APPLICABLE LAW MAY NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OR ALL OF THE FOREGOING DISCLAIMERS MAY NOT APPLY TO YOU.
13. Limitation of Liability
USER RECOGNIZES THAT CONDITIONS CAN VARY FROM THOSE ENCOUNTERED WHEN AND WHERE RAVIN OBTAINED USER CONTENT AND ANY CLAIMS DATA WITHIN IT, AND THAT THE NATURE OF THE USER CONTENT NECESSARILY CAUSES A LEVEL OF UNCERTAINTY. USER AGREES THAT RAVIN SHALL HAVE NO LIABILITY TO USER OR TO ANY THIRD PARTIES FOR ANY INFORMATION CONTAINED IN THE SERVICES OR ANY OTHER DELIVERABLES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
13.1 Excluded Damages
RAVIN, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR USE, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, INCLUDING NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF RAVIN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
13.2 Aggregate Cap
RAVIN’S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY AND REGARDLESS OF THE NUMBER OF CLAIMS, WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO RAVIN FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE THOUSAND DOLLARS ($1,000.00).
DURING THE BETA, NO FEES ARE PAID, SO PARAGRAPH (A) WILL TYPICALLY EVALUATE TO ZERO; THE FIXED-AMOUNT CAP IN PARAGRAPH (B) IS THEREFORE THE OPERATIVE LIMIT.
13.3 No Liability for Carrier Decisions
WITHOUT LIMITING THE GENERALITY OF THIS SECTION, RAVIN IS NOT LIABLE FOR ANY DECISION BY ANY INSURANCE CARRIER REGARDING THE ACCEPTANCE, REJECTION, ADJUSTMENT, OR VALUATION OF A CLAIM, OR FOR ANY ECONOMIC LOSS THAT FOLLOWS FROM RELIANCE ON AI OUTPUT THAT YOU HAVE NOT INDEPENDENTLY VERIFIED.
13.4 Essential Basis
The parties acknowledge that the disclaimers and limitations in Sections 12 and 13 are an essential basis of the bargain between them and form the foundation for the fees (or absence of fees) charged to the User.
14. Indemnification
You agree to defend, indemnify, and hold harmless Ravin and its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, demands, actions, losses, damages, liabilities, settlements, judgments, fees, and expenses (including reasonable attorneys’ fees) arising out of or related to:
Your User Content, including any allegation that your User Content infringes the Intellectual Property Rights of any third party or violates any applicable law.
Your use of the Service, including any use in breach of these Terms.
Your violation of any applicable law or regulation in connection with your use of the Service.
Your representation to any carrier, insured, or other third-party regarding AI Output that you have not adequately reviewed.
Your onward distribution of exported spreadsheets, reports, photograph links, or other output of the Service to carriers, insureds, or any other third party, and any use or disclosure of that material by its recipients.
Any failure to give a notice to, or obtain a consent or permission from, an insured, claimant, or other person whose information or property appears in your User Content, as described in Section 8.6.
Ravin reserves the right, at your expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you will cooperate with Ravin’s defense.
15. Term and Termination
15.1 Term
These Terms take effect on the Effective Date and continue until terminated as provided in this Section.
15.2 Termination by You
You may terminate these Terms at any time by closing your Account and ceasing all use of the Service. Closing your Account does not entitle you to a refund of any fees already paid.
15.3 Termination or Suspension by Ravin
Ravin may suspend or terminate your Account, or these Terms in their entirety, at any time and for any reason, with or without prior notice, including (without limitation) if Ravin reasonably believes that you have breached these Terms or that suspension is necessary to protect the Service, other Users, or Ravin’s interests.
15.4 Effect of Termination
Upon termination: (a) your right to access and use the Service immediately ends; (b) for thirty (30) days after termination, Ravin will, on your request, provide an export of your Claim Data in the Service’s standard export formats, as the Data Processing Addendum describes; (c) Ravin may, but is not obligated to, retain a copy of your User Content for a reasonable period (such as the 7-year claim-retention window the Service uses) for audit and legal-defense purposes, after which it may be deleted in accordance with the Privacy Policy; and (d) Sections that by their nature should survive termination, including Sections 5 (Intellectual Property), 6 (Restrictions), 8.6 and 8.7 (Onward Sharing; Release), 9 (AI-Generated Content), 11 (Confidentiality), 12 (Disclaimer of Warranties), 13 (Limitation of Liability), 14 (Indemnification), this Section 15.4, and Sections 16 through 20, will so survive.
16. Governing Law and Dispute Resolution
16.1 Governing Law
These Terms and any disputes that may arise hereunder are governed by and construed in accordance with the laws of the State of New Hampshire, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply. It is agreed that the state or federal courts of New Hampshire shall, with all jury claims hereby irrevocably waived, have jurisdiction over any equitable claim or claims for injunctive relief arising out of, or relating to, these Terms or in any way related to the Service or the Parties’ respective obligations hereunder.
16.2 Dispute Resolution
All other claims, disputes or other matters in question between the parties arising out of or relating to the Terms or the Service, or any other transactions contemplated hereunder, or breach thereof shall be subject to mediation and, in the event no mediated resolution is reached within thirty (30) days of written notice of same, then be subject to arbitration by a single arbitrator in accordance with the Rules of the American Arbitration Association currently in effect. The determination of the arbitrator shall include which party shall pay the cost of the arbitration and shall be final, binding on the parties and non-appealable, and may be entered in any court of competent jurisdiction to enforce it. The parties acknowledge, agree and stipulate that the activities of Ravin and the actions contemplated hereunder involve interstate commerce, as that term is defined in the Federal Arbitration Act, 9 U.S.C. section 1, et seq. The parties further agree that any such mediation and/or arbitration proceeding shall be conducted at a mutually agreed upon location or in the event no location can be agreed by use of a remote platform.
It is further agreed and understood that any legal action or other dispute resolution proceeding hereunder will be conducted on an individual basis and that class arbitrations and class actions are waived and not permitted. USER SPECIFICALLY ACKNOWLEDGES, AGREES AND UNDERSTANDS THAT USER AND RAVIN ARE WAIVING ANY AND ALL RIGHTS TO PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE ATTORNEY GENERAL OR REPRESENTATIVE ACTION.
16.3 Equitable Relief
Notwithstanding Section 16.2, either party may seek temporary or preliminary injunctive or other equitable relief in any court of competent jurisdiction to prevent or stop a breach of Sections 5 (Intellectual Property), 6 (Restrictions), or 11 (Confidentiality), without first complying with any dispute-resolution procedure that would otherwise apply, and without bond.
17. Modifications to the Terms
Ravin may modify these Terms at any time. Material changes will be communicated by email to the address on file with your Account, by in-Service notice, or by posting the updated Terms with a revised “Last updated” date. Your continued access to or use of the Service after the effective date of the revised Terms constitutes your acceptance of those revisions. If you do not agree to a revision, your sole remedy is to terminate your Account.
18. Notices
Notices from Ravin to you may be sent by email to the address on file with your Account, by in-Service notification, or by posting on the Service. Notices from you to Ravin must be sent to:

19. Miscellaneous
19.1 Entire Agreement
These Terms, together with the Privacy Policy and any additional terms incorporated by reference, constitute the entire agreement between you and Ravin regarding the Service and supersede all prior or contemporaneous agreements, communications, and understandings.
19.2 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in full force and effect.
19.3 No Waiver
The failure of Ravin to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision.
19.4 Assignment
You may not assign, delegate, or otherwise transfer these Terms or any of your rights or obligations under them, in whole or in part, without Ravin’s prior written consent. Ravin may freely assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets. Any attempted transfer in violation of this Section is null and void.
19.5 Force Majeure
Ravin is not liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including acts of God, war, terrorism, civil unrest, governmental action, labor disputes, power or internet outages, cyber-attacks, supply-chain failures, or failures of upstream service providers.
19.6 Relationship of the Parties
Nothing in these Terms creates any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. Neither party has the authority to bind the other.
19.7 No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights in any person or entity that is not a party to them.
19.8 Headings and Construction
Headings are for convenience only and do not affect interpretation. The word “including” means “including without limitation.”
19.9 OFAC Requirements
Each party shall comply with economic sanctions, trade restrictions, and embargo laws applicable to its activities under the Agreement, including applicable sanctions administered by the U.S. Department of the Treasury's Office of Foreign Assets Control (“OFAC”). You shall not use the Service in a manner that would cause Ravin to violate applicable sanctions laws. You are solely responsible for determining whether any policyholder, insured, claimant, beneficiary, payee, transaction, claim, or other person or transaction associated with your use of the Service is subject to sanctions restrictions and for performing any sanctions screening required by applicable law. Ravin does not provide legal, regulatory, insurance-adjusting, or sanctions-screening advice and does not determine whether a claim may lawfully be paid. Ravin may implement reasonable, risk-based sanctions controls concerning its own customers, counterparties, vendors, and use of the Service. Ravin may refuse, suspend, restrict, or terminate access to the Service when Ravin reasonably determines that continued provision of the Service could violate applicable sanctions laws or expose Ravin to material sanctions risk. Ravin's processing of Claim Data as a processor does not make Ravin responsible for determining whether persons identified in Claim Data are subject to sanctions restrictions. Ravin shall not be required to conduct sanctions screening of individuals whose information is contained in Claim Data solely because such information is processed through the Service, unless expressly agreed in writing or required by applicable law.
You shall not use the Service to:
(a) provide services to a person or entity whose property or interests in property are blocked under applicable U.S. sanctions, except as authorized by applicable law or OFAC;
(b) facilitate transactions prohibited by applicable sanctions laws;
(c) circumvent or evade applicable sanctions restrictions; or
(d) provide the Service in a jurisdiction or manner prohibited by applicable U.S. sanctions laws.
Ravin does not warrant that the Service will identify every sanctioned person, entity, jurisdiction, transaction, or circumstance. Any sanctions-related screening, alert, or other functionality provided by Ravin is a technical tool only and does not constitute a determination that a person or transaction is subject to or permitted under applicable sanctions laws. You remain solely responsible for reviewing potential sanctions matches and determining the appropriate legal response.

Exhibit A: Data Processing Addendum
This Data Processing Addendum (“DPA”) forms part of the Terms of Service (the “Terms”) between Ravin Inventory Solutions, LLC, a New Hampshire limited liability company (“Ravin”), and the User that accepts the Terms (“Customer”). It is effective on the date Customer accepts the Terms and remains in effect for as long as Ravin processes Customer Personal Data. Capitalized terms not defined here have the meanings given in the Terms.
1. Definitions
1.1 “Customer Personal Data” means Personal Data contained in Claims Data or other User Content that Ravin processes on Customer’s behalf in providing the Service.
1.2 “Data Protection Laws” means all United States federal and state laws that apply to the processing of Customer Personal Data, including the New Hampshire privacy law, RSA Chapter 507-H, the California Consumer Privacy Act as amended (“CCPA”), the comprehensive consumer privacy laws of the other U.S. states, and state data-breach notification and data-security laws, in each case as and to the extent they apply to a party.
1.3 “Controller,” “Processor,” “Consumer,” “Personal Data,” “Process,” “Sale,” “Share,” “Service Provider” and “Contractor” have the meanings given in the applicable Data Protection Laws. A reference to a Controller includes a “business,” and a reference to a Processor includes a “service provider” or “contractor.”
1.4 “Security Incident” means a confirmed breach of security leading to the accidental or unlawful destruction, loss, alteration, unauthorized disclosure of, or access to, Customer Personal Data in Ravin’s possession or control.
1.5 “Sub-processor” means a third party Ravin engages to process Customer Personal Data.
2. Roles and Scope
2.1 Roles. As between the parties, Customer is the Controller of Customer Personal Data and Ravin is its Processor. Where Customer is itself a Processor for an insurer or another party, Ravin is Customer’s Sub-processor, and Customer is responsible for ensuring its instructions to Ravin are consistent with that party’s instructions.
2.2 Ravin as Controller. Ravin is a Controller only for the limited data described in Section 8.3 of the Terms (account and contact information, billing information, authentication and security logs, and information needed to administer the customer relationship). That data is governed by Ravin’s Privacy Policy, not by this DPA.
2.3 Details of processing. The subject matter, nature and purpose, types of Personal Data, categories of Consumers, and duration of processing are set out in Annex 1.
2.4 Territory. The Service is offered to insurance professionals located in the United States, in all fifty states and the District of Columbia. This DPA addresses U.S. Data Protection Laws only.
3. Customer Instructions
3.1 Documented instructions. Ravin will process Customer Personal Data only on Customer’s documented instructions. The Terms, this DPA, and Customer’s use and configuration of the Service (including the claims, photo sources, and exports Customer creates) are Customer’s complete documented instructions. Additional instructions require written agreement.
3.2 Unlawful instructions. Ravin will promptly inform Customer if, in Ravin’s opinion, an instruction violates Data Protection Laws, and may suspend the affected processing until Customer confirms or modifies the instruction.
3.3 Required by law. Ravin may process Customer Personal Data where required by law. In that case Ravin will inform Customer of the requirement before processing, unless the law prohibits it.
3.4 Customer responsibilities. Customer is responsible for the lawfulness of the Customer Personal Data it provides, for any notice to or consent from insureds, claimants, and other individuals that Data Protection Laws require, and for its onward distribution of any data, images, or exports it receives from the Service, as set out in Section 8.1 of the Terms.
3.5 No license. Nothing in the Terms or this DPA grants Ravin any right to use Customer Personal Data other than as Customer’s Processor under this DPA. Ravin’s rights in de-identified and aggregated data, and in its own pricing methods, models, and improvements, are stated in Sections 5.6 and 5.7 of the Terms and Section 4.6 of this DPA.
4. Service Provider Commitments
To the extent the CCPA or a similar law applies, Ravin will not:
(a) Sell or Share Customer Personal Data;
(b) retain, use, or disclose Customer Personal Data for any purpose other than providing the Service to Customer, including for any commercial purpose, marketing, profiling, or cross-context behavioral advertising;
(c) retain, use, or disclose Customer Personal Data outside the direct business relationship between Ravin and Customer; or
(d) combine Customer Personal Data with personal data Ravin receives from any other person or collects from its own interactions with a Consumer, except as Data Protection Laws permit.
Ravin will comply with the obligations Data Protection Laws impose on Processors, provide the level of privacy protection they require, and notify Customer if it determines it can no longer meet those obligations. Customer may take reasonable and appropriate steps to stop and remediate unauthorized use of Customer Personal Data. Ravin certifies that it understands and will comply with the restrictions in this Section 4.
4.1 No model training. Ravin does not use Customer Personal Data to train artificial-intelligence or machine-learning models, and engages its AI Sub-processor only under terms that prohibit that provider from training models on Customer Personal Data.
4.2 Specified business purposes. Customer discloses Customer Personal Data to Ravin only for, and Ravin will process it only for, the limited and specified business purposes described in Annex 1.
4.3 Sensitive data. Ravin will process sensitive data contained in Customer Personal Data, as the broadest applicable Data Protection Law defines it (including consumer health data and financial account information), only as strictly necessary to provide the Service Customer requested. Ravin will never sell sensitive data and will not use it to infer characteristics about any individual.
4.4 Minors. Ravin will not sell, share, use for targeted advertising, or profile the personal data of any individual under eighteen (18).
4.5 Consumer health data. To the extent Customer Personal Data includes consumer health data under the Washington My Health My Data Act (RCW 19.373), Nevada law, or a similar law, Ravin will process it only under Customer’s instructions in this DPA and will not process it outside them.
4.6 De-identified and aggregated data. Customer authorizes and instructs Ravin to create de-identified and aggregated data from Customer Personal Data as Section 5.6 of the Terms describes. Ravin will (a) take reasonable measures to ensure the data cannot be associated with any individual, household, or specific claim; (b) publicly commit to maintain and use the data only in de-identified form and not to attempt to reidentify it; and (c) contractually obligate any recipient to comply with the same restrictions. Data that meets these requirements is not Customer Personal Data. Ravin will not create de-identified data from information obtained through Google APIs.
5. Confidentiality and Personnel
Ravin will ensure that each person it authorizes to process Customer Personal Data is subject to a duty of confidentiality, whether contractual or statutory. As of the effective date, Ravin is operated by a single owner, and access to Customer Personal Data is limited as described in Section 10.1 of the Privacy Policy: diagnosing a reported or detected fault, investigating a security incident, and complying with a legal obligation.
6. Security
Ravin will implement and maintain reasonable administrative, technical, and physical safeguards appropriate to the nature of Customer Personal Data, including those described in Annex 2. Ravin may update those safeguards over time, provided the update does not materially reduce the overall protection of Customer Personal Data.
6.1 Insurance-industry safeguards. Because Customer may be a licensee subject to a state insurance data-security law based on the NAIC Insurance Data Security Model Law (#668), to 23 NYCRR Part 500, or to safeguards obligations under the Gramm-Leach-Bliley Act, Ravin will also: (a) maintain a written information security program appropriate to its size and the sensitivity of Customer Personal Data; (b) require multi-factor authentication for all administrative access to systems that hold Customer Personal Data; (c) encrypt Customer Personal Data in transit and at rest; and (d) give Customer, on reasonable request, the information Customer needs to complete its own third-party service provider due diligence.
7. Sub-processors
7.1 Authorization. Customer grants a general authorization for Ravin to engage Sub-processors. The Sub-processors in use on the effective date are listed in Annex 3.
7.2 Written terms. Ravin will engage each Sub-processor under a written contract that imposes data-protection obligations no less protective than those in this DPA including the restrictions in Section 4, to the extent applicable to the nature of the services it provides. Customer acknowledges that several Sub-processors provide their services only on standard published terms, which Ravin has accepted and which are linked in Annex 3.
7.3 Changes. Ravin will give Customer at least thirty (30) days’ notice, by email or in-Service notice, before a new Sub-processor begins processing Customer Personal Data. Customer may object on reasonable data-protection grounds within that period. If the parties cannot resolve the objection, Customer may terminate its Account as its sole remedy.
7.4 Responsibility. Ravin remains responsible to Customer for its Sub-processors’ performance of their data-protection obligations, subject to the limitations of liability in the Terms.
7.5 Customer-connected sources. Dropbox and Google are not Ravin’s Sub-processors. They are sources Customer chooses to connect under Customer’s own accounts with those providers, and their terms are listed in Annex 3 for reference only.
8. Assistance
8.1 Consumer requests. Taking into account the nature of the processing, Ravin will provide reasonable assistance, including through the Service’s editing, export, and deletion functions, to help Customer respond to requests from individuals exercising their rights under Data Protection Laws. If Ravin receives such a request directly, it will refer the individual to Customer and will not respond except as Customer instructs or the law requires.
8.2 Assessments. Ravin will provide information reasonably necessary for Customer to conduct and document any data protection or risk assessment, cybersecurity audit, or assessment of automated decisionmaking technology that Data Protection Laws require of Customer.
8.3 Security obligations. Ravin will provide reasonable assistance to Customer in meeting its obligations regarding the security of processing and notification of Security Incidents.
9. Security Incidents
Ravin will notify Customer immediately following discovery of a Security Incident, and in any event within forty-eight (48) hours after discovery. The notice will describe, to the extent then known, the nature of the incident, the categories of data and approximate number of records affected, the likely consequences, and the measures taken or proposed. Ravin will provide further information as it becomes available and will reasonably cooperate with Customer’s investigation and any notifications Customer is required to make. Customer is responsible for notifying affected individuals and regulators unless the parties agree otherwise in writing. Notification is not an admission of fault or liability.
10. Duration, Return, and Deletion
10.1 Duration. This DPA continues for as long as Ravin processes Customer Personal Data.
10.2 At the end of service. Upon termination of Customer’s Account, Customer may request, within thirty (30) days, an export of its Claims Data in the Service’s export formats, and Ravin will provide it. At Customer’s direction Ravin will then delete Customer Personal Data, unless retention is required by law, and will confirm the deletion in writing on request. Customer may instead direct Ravin to return Customer Personal Data in the Service’s export formats.
10.3 Locked storage and backups. Customer acknowledges that (a) photographs in primary storage are protected by retention locks that prevent deletion by anyone, including Ravin, until the current lock date, and (b) backup copies persist until they age out of the backup store. Ravin will delete such copies as soon as the lock or backup cycle permits and, until then, will not access or use them except to restore the Service.
10.4 Retention default. Unless Customer directs earlier deletion, Ravin retains Claims Data for seven (7) years from the date of loss, as described in the Privacy Policy. Customer is responsible for determining whether any record-retention rule that applies to Customer requires a different period and for exporting its records accordingly.
11. Demonstrating Compliance and Assessments
11.1 Information. Ravin will make available to Customer, on reasonable written request, the information necessary to demonstrate its compliance with this DPA.
11.2 Assessments. Ravin will allow, and cooperate with, reasonable assessments by Customer or a qualified independent assessor Customer designates and Ravin reasonably approves, no more than once in any twelve (12) month period (except following a Security Incident or where a regulator requires it), on at least thirty (30) days’ written notice, during normal business hours, subject to confidentiality obligations, and at Customer’s expense. Alternatively, Ravin may arrange for a qualified independent assessor, at least annually and at Ravin’s expense, to assess its controls using an appropriate and accepted framework, and will provide the report to Customer on request.
12. General
12.1 Order of precedence. If this DPA conflicts with the Terms, this DPA controls as to the processing of Customer Personal Data. Otherwise the Terms control.
12.2 Liability. Each party’s liability under this DPA is subject to the exclusions and limitations of liability in the Terms.
12.3 Changes in law. Ravin may update this DPA as reasonably necessary to comply with changes in Data Protection Laws, with notice to Customer in the manner provided in the Terms for changes to the Terms.
12.4 Governing law. This DPA is governed by the law and dispute-resolution provisions of the Terms.
